Product Terms
These Terms govern a Roxensoft software licence or subscription only when supplied and accepted for that purchase. The order identifies the product, seller, price, entitlement, delivery, supported systems and term. They do not transfer the product's source code, brand or operating business.
1. Licence and entitlement
The purchaser receives a non-exclusive licence or hosted access within the stated device, user, seat, location and usage limits. No resale, separate component extraction, sublicensing or ownership is granted unless expressly agreed or mandatory law permits. Reverse engineering restrictions are subject to lawful interoperability and other exceptions.
For the HostAxe Lifetime offer on this website, the stated entitlement is one device and a one-time payment, with a key delivered to the supplied email after confirmed payment. Lifetime means continued lawful use of the purchased release, not an implied commitment to indefinite cloud hosting, new major versions or lifetime personal support. Any express update promise and mandatory security, conformity and update duties remain binding. Device changes or activation problems should be reported to support.
2. Price delivery and trials
The actual total, currency and applicable charges are disclosed before payment. No automatic 5% card or consumer surcharge follows from our B2B bank-transfer proposals. Payment providers may have their own disclosed conversion terms. The order is confirmed through the stated checkout and delivery process; a failed key delivery must be investigated and corrected without charging twice.
A trial has the disclosed period and limits. No paid conversion or automatic recurring debit occurs without the required prior disclosure and authorisation. Hosted subscriptions and downloadable digital content are distinct for withdrawal and service obligations.
3. Subscriptions and changes
Recurring billing applies only where the order expressly states the interval, renewal basis and cancellation route and the purchaser authorises it. Cancel through the account control where offered or contact rox.techlead@gmail.com before the next renewal. Mandatory easier methods or shorter notice rights prevail. Cancellation ordinarily stops future renewal and preserves access through the paid period, subject to a clearly agreed lawful minimum term.
Future subscription price changes are notified at least 30 calendar days before application, with an opportunity to cancel before the changed price applies. Paid fixed-term entitlements are not retroactively reduced by a website update. Material service changes require a valid reason, notice and any withdrawal or termination rights required by law.
4. Data service quality and suspension
Customer data remains the customer's. Hosted operational processing follows the relevant privacy notice and, for business processing on instructions, a DPA. Standard export, retention and any mandatory switching rights apply; no product-source ownership arises from a data export. Required EU Data Act switching rules and restrictions on switching charges prevail where the service and customer fall within scope.
We deliver material conformity to the expressly promised characteristics. No revenue, marketing result, universal compatibility, absolute security, uptime or 24/7 human support is implied. Specifically purchased service levels and mandatory remedies remain. Proportionate restriction may protect against non-payment, fraud, licence abuse or security threats; it does not authorise sabotage of unrelated systems or arbitrary erasure of customer data.
5. Remedies and law
The Refund Policy describes withdrawal, non-delivery and conformity remedies. A 20-day custom-development B2B warranty does not limit consumers' digital-content or digital-service rights. Mandatory rights may apply even where a product is free in exchange for data used beyond strictly necessary delivery.
For validly accepted B2B purchases, aggregate provider damages liability is capped at the lesser of affected-order fees paid in the preceding 3 months and fees paid for the specifically affected priced deliverable or service, with the first amount applying if none is separately priced. Indirect and consequential losses are excluded where lawful. Fraud, intentional breach, mandatory restitution and other non-limitable liability are not excluded. Ukrainian law and competent courts apply only subject to mandatory consumer and jurisdiction rules.
