Product Transfer Terms

Adopted and effective:
Version: 2026.10.15

Buying a product licence or subscription does not buy its source code, trademark, domains, customer contracts or business. A substantial software or operating-asset sale requires a separately signed Product Asset Transfer Agreement with an identified asset inventory and closing process.

1. Transaction boundaries

The signed sale identifies versions and commits, economic copyright uses, territory, duration, allocated price, domains, brands, included documentation and any lawfully assumed obligations. Roxensoft's unrelated products, general tools, brand, personal accounts, registration and third party licences remain excluded unless specifically transferable and purchased.

An individual entrepreneur's registration is not a company share. Customer contracts and debts do not move merely because the seller and buyer agree between themselves; required third party consents and approvals remain. Personal data transfers require a lawful basis, notices and safeguards, not an unrestricted property clause.

2. Payment closing and risk

Rights remain with the seller until the signed payment, consent, handover and release conditions are satisfied. Due-diligence access is a limited confidential evaluation licence. A lawful completed assignment is not automatically erased by a later payment dispute. Credentials and merchant accounts use provider-approved transfer or new accounts.

Disclosed historical results and technical condition are examined in due diligence. No future revenue, customer retention, market approval, guaranteed profit or indefinite transition support is promised. Specific title and conformity representations, remedies, liability limits and disclosures are in the signed sale; mandatory fraud and other non-limitable rights remain.

3. Continuing operation

Already promised customer entitlements and lawful notices must be respected. Ongoing hosting, transition assistance or maintenance requires stated scope and fees. The seller remains free to develop unrelated products and use retained generic know-how; no non-compete or exclusivity arises unless separately priced and validly agreed.
